These Terms of Service ("Terms") govern your access to and use of the BridgePoint Pay API and related services (the "Services") provided by BridgePoint Pay, Inc. ("BridgePoint," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.
The Services are available to federally insured financial institutions and credit unions that have been approved by BridgePoint through our onboarding process. Access requires a signed Letter of Intent and approval by BridgePoint in its sole discretion. You represent that you have full authority to enter into these Terms on behalf of your institution.
Upon approval, you will receive a Client ID and Client Secret. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must:
BridgePoint is not liable for any loss or damage arising from your failure to maintain the security of your credentials.
You may use the Services solely to process payment transactions on behalf of your institution and its customers through the FedNow Service and RTP® Network. You may not:
Fees are agreed upon in your Letter of Intent and consist of a monthly minimum and a per-transaction rate. Invoices are generated automatically at the end of each billing period and delivered to your designated billing contact. Payment is due within 30 days of invoice date via wire transfer or ACH.
BridgePoint reserves the right to suspend your access for non-payment after providing written notice and a 10-day cure period.
Either party may terminate these Terms with 30 days written notice. You may cancel your subscription at any time through the bank portal, which will immediately revoke your API access. No refunds will be issued for the current billing period's monthly minimum upon cancellation. Your data will be retained for 90 days following cancellation and then permanently deleted.
BridgePoint may terminate your access immediately and without notice if you materially breach these Terms, violate applicable law, or pose a risk to BridgePoint's infrastructure or other clients.
You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations, including but not limited to:
BridgePoint maintains its own compliance program but does not assume responsibility for your institution's regulatory obligations.
BridgePoint implements industry-standard security controls including HTTPS encryption, bcrypt credential hashing, JWT authentication, rate limiting, and full audit logging. We do not sell or share your transaction data with third parties except as required to process transactions through the FedNow and RTP networks or as required by law.
BridgePoint targets 99.9% API uptime but does not guarantee uninterrupted availability. We are not responsible for downtime caused by the FedNow Service, RTP® Network, your internet service provider, or events outside our reasonable control. Planned maintenance will be communicated in advance when possible.
To the maximum extent permitted by law, BridgePoint's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to BridgePoint in the three months preceding the claim. BridgePoint is not liable for any indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless BridgePoint and its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.
BridgePoint may update these Terms at any time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
